1. Scope of application and parties to the contract

A consumer is any natural person who enters into a legal transaction for purposes that are not, for the most part, related to their business or professional activities. A trader is a natural person, a legal person or an organisational unit with legal capacity who carries out a legal transaction in the course of their business or professional activities.

In dealings with businesses, we object to the use of the customer’s different or supplementary terms and conditions. These only become part of the contract if we expressly agree to them.

Information on the processing of personal data can be found in our privacy policy.

2. Subject matter of the contract

We manufacture and sell products made to individual customer specifications, in particular textile labels, care labels, size labels, cardboard hangtags, stickers, ribbons and elastic bands.

The design is created in our online studio or based on production files sent by the client.

If we also offer ready-made goods that are not manufactured to the customer’s specifications, this is clearly stated in the relevant product description.

The visualisations presented at the Studio are intended to illustrate the project.

3. Conclusion of the contract, language of the contract, content of the contract

The presentation of products in the online shop does not constitute a binding offer, but an invitation to place an order.

Clicking the ‘Place order’ button, which implies an obligation to pay, constitutes a binding order.

Once an order has been placed, the customer receives an automatic confirmation of receipt by email. This confirmation does not yet constitute acceptance of the order.

The contract is concluded at the moment we expressly accept the order or commence production. In the case of custom-made goods, this requires prior approval of the production files in accordance with clause 6.

Before submitting an order, the customer may at any time amend and correct the details they have entered, using the correction functions provided within the ordering process and the standard browser functions.

The language of the contract is Polish.

We store the text of the contract. We send the order details by email, and these terms and conditions can be viewed, saved and printed from this page at any time.

4. Prices and payment

All prices are final and include VAT at the statutory rate. Delivery costs are added to the prices and are displayed during the ordering process before the order is placed.

For businesses holding a valid EU VAT identification number, we issue a tax-exempt invoice under the reverse charge procedure, following verification of that number.

The available payment methods are shown during the ordering process. Electronic payments are processed by Stripe.

Production begins once the payment has been processed and the production files have been approved.

The customer agrees to receive invoices in electronic form at the email address provided in the order.

5. Delivery, postage costs, transfer of risk, retention of title

We deliver goods to the address specified by the customer. Collection in person is not possible.

Delivery charges are displayed during the ordering process before the order is placed.

The delivery time consists of the production time and the transport time. The production time is specified for each product and begins once the payment has been processed and the production files have been approved.

If the customer is a consumer, the risk of accidental loss or damage to the goods passes to them upon delivery of the goods. If the customer is a business, the risk passes upon handover of the goods to the carrier.

The goods remain our property until full payment has been made.

6. Production files, design and approval for production

In the case of bespoke goods, the customer either submits a design via Studio or sends their own production files.

The customer is required to check the design carefully before submitting the order, paying particular attention to the content, spelling, dimensions and colour specifications. Submission of the order constitutes approval of the design for production.

We do not check the content submitted for spelling, grammar or factual accuracy.

Once production has started, it is no longer possible to make changes to the design or the production files.

We reserve the right to refuse to fulfil an order if the content provided is clearly unlawful, in particular if it incites hatred, is pornographic in nature or recognisably infringes the rights of third parties.

If, when ordering custom-made goods, the customer fails to provide usable production files within 14 days of placing the order, we may withdraw from the contract. We will refund any payments made without delay.

We do not undertake to archive production files on a permanent basis.

7. Protective rights and exemption from liability

The customer bears sole responsibility for ensuring that the content they provide does not infringe the rights of third parties, and declares that they hold all necessary rights to use such content.

We are under no obligation to examine the content provided for possible infringements of rights.

The client shall indemnify us against any claims brought against us by third parties arising from any infringement of copyright, trade mark rights, design rights, personal rights or other intellectual property rights by the content provided by the client, including the necessary costs of legal defence.

8. Use of client projects for reference purposes

The client grants us a non-exclusive right, without any time or territorial restrictions, to use the products designed as part of the order for our own advertising purposes, in particular on our website, on social media and in promotional materials.

We do not publish customers’ personal data in this context.

The customer may object to such use at any time, with effect for the future. Simply send an email to office@huuft.com.

9. Right to withdraw from the contract

Consumers have a statutory right to withdraw from the contract in accordance with the terms set out in our notice on withdrawal from the contract.

The right of withdrawal does not apply to contracts for the supply of non-prefabricated goods, manufactured to the consumer’s specifications or designed to meet their individual needs. This applies to all products manufactured to the customer’s specifications, in particular labels, tags, stickers and ribbons with a customised design.

In the case of finished goods that are not manufactured to the customer’s specifications, the statutory right of withdrawal applies without restriction.

We do not grant business customers a contractual right to withdraw from the contract.

10. Warranty against defects

The statutory provisions on liability for defects apply.

We accept no liability under the warranty for defects arising from production files, designs or data provided by the customer.

The following additional provisions apply to business customers: the choice between repair and delivery of goods free from defects rests with us; the limitation period for claims arising from defects in new goods is one year from the transfer of risk; only our own product information and descriptions shall be deemed to constitute an agreement as to the characteristics of the goods; we accept no liability for any other public statements or advertising material.

If the customer is a trader, they are obliged to inspect the goods and report any defects without delay. If they fail to do so, the goods are deemed to have been accepted, unless the defect could not have been detected during the inspection.

The limitations and time-bar periods described in the two preceding paragraphs do not apply to claims for damages arising from injury to life, limb or health, from intentional or grossly negligent breaches of duty, fraud, breach of material contractual obligations, a warranty given, or claims covered by the provisions on product liability.

11. Liability

We accept unlimited liability for wilful misconduct and gross negligence, for the fraudulent concealment of a defect, within the scope of the warranty provided, for damage resulting from injury to life, limb or health, and under the provisions governing product liability.

In the event of a breach, arising from slight negligence, of material contractual obligations – that is, obligations the fulfilment of which is essential for the proper performance of the contract and on which the other party may reasonably rely – our liability shall be limited to damage typical for this type of contract and foreseeable at the time of its conclusion.

In all other respects, liability for breaches of duty arising from slight negligence is excluded.

The above limitations of liability also apply to our legal representatives and any persons we engage to fulfil our obligations.

12. Final provisions

If the customer is a business, Polish law shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods.

If the customer is a trader, a legal person governed by public law or an estate governed by public law, the court with jurisdiction over our registered office shall have exclusive jurisdiction over all disputes arising from the contractual relationship.

We are neither prepared nor obliged to participate in proceedings concerning the out-of-court resolution of consumer disputes before an arbitration body.

If any provision of these terms and conditions is or becomes invalid, the validity of the remaining provisions shall remain unaffected.
